The following terms and conditions apply to Institute of Managers and Leaders (IML) Members.

Professional Membership

Constitution, Code of Ethics and By-laws

All Members are bound by Institute of Managers and Leaders Limited’s (the ‘Institute’) Constitution, Code of Ethics and by all laws, notices and directives of the Institute of Managers and Leaders Limited.

Grades of Membership

Professional Membership grades include:

  • Professional;
  • Associate Fellow; and
  • Fellow

Non-Professional Membership grades include:

  • Emerging Leader
  • Student
  • Affiliate

Professional Membership recognitions by award include:

  • Life Member; and
  • Emeritus

Application for Membership

Is open to any individual who:

  • is not less than 18 years of age at the date of application;
  • applies in writing specifying the category of Membership he or she wishes to apply for; and
  • agrees to be bound by this Constitution and the Code of Conduct.

The application for Life Membership must be in writing to the Board of Directors, through the General Manager Membership Operations.

Failure to Accept Conditions of Membership

All members are required to indicate they accept all terms and conditions of membership. Applications will not be processed until confirmation is received.

Admission to Membership

In accordance with the Institute’s Constitution, the Board may, in its absolute discretion:

  1. accept or reject any application for membership; and
  2. in the case of an individual applicant, if it accepts his or her application for membership:
    (i) and the applicant:
    • (A) has specified the category of membership he or she wishes to apply for; and
    • (B) meets any Eligibility Criteria applicable for that category,
      admit that applicant in the specified category of membership; or
      (ii) admit that applicant in the category of membership determined by the Board.

The Board need not give a reason for the exercise of its discretion under this section 5.

If an application for membership is rejected, the Secretary or the Secretary’s delegate will notify the applicant in writing and the Application Fee (if any) and Membership Fee (if any) paid by the applicant will be refunded to the applicant as soon as reasonably possible after the Board has made its decision.

Transfer of Membership

IML Memberships are individual and non-transferable.

Upgrade of Membership

Where a Member wishes to upgrade, they must apply in writing, and provide evidence of their eligibility for the higher grade.

Re-instate a Lapsed Membership

To reinstate your lapsed Membership (up to 3 months after Membership fees were due) refer to your Subscription Renewal Notice for payment options or log on to the Members’ section of the IML website to pay the full amount of your outstanding membership subscription.

To reinstate your lapsed membership (after 3 months and up to 1 year after Membership fees were due), please contact the IML Member Services Team at membership@managersandleaders.com.au.

Re-admission to the Institute

If you have been non-financial for 3 months or more, you may need to apply for re-admission to the Institute by completing the Membership Application. Please contact the IML Member Services Team for assistance.

Resigning a Membership

Members wishing to resign their membership are required to do so in writing, by mail or by email. Please include your IML Membership number, full name and contact details. Membership fees are non-refundable.

Membership Fees

  • Application Fee

The Application Fee is payable by each applicant for a new professional membership.

  • Annual Membership Fee

The Annual Membership Fee payable by a Member is the sum the Board determines for the relevant category of Membership.

All Membership Fees are due and payable in advance of the member’s renewal date each year.

Failure to Pay

If a Member does not pay their Membership fees, their Membership will lapse and they will not have access to IML membership benefits. If an individual’s membership does lapse or is resigned, that individual must not use any IML post-nominals or claim to be an IML Member.

Costs Incurred by IML ANZ in Processing Membership Fees

If IML incurs any unexpected costs in processing Membership fees, those costs will be charged back to that Member. Costs may include but are not limited to bounced cheque fees and related bank charges.

Membership Refunds

Membership fees will not be refunded by IML except where:

  • an application for membership is declined by IML
  • written applications to the Board to be assessed on a case by case basis

Membership Fee Concessions

  • Loyalty Rate – You may be eligible for a membership loyalty rate if you are:
  • Over the age of 65, have been a member of IML for a continuous period of at least fifteen years and have retired from paid, full-time work. Loyalty rate is 50% off the current applicable membership grade annual fee.
    • Complimentary Rate – You may be eligible for a complimentary Membership rate if you:
  • Have been awarded a Life Membership by the Board of the Institute of Managers and Leaders Limited.

All applications for loyalty or concession rates are to be in writing to the Company Secretary.

Correspondence Delivery

Primarily the delivery of all correspondence relating to your Membership will be electronic, via email and you consent to communication by that method.  Your address details (email/postal) utilised by IML will be those you notify to us when you have made a successful application for Membership.

You agree that we will not be responsible for failure of the delivery of correspondence if you have supplied us with an incorrect address or have failed to notify us of an address change.  We reserve the right to dispose of incorrectly addressed envelopes or return email transmissions and their contents without an obligation to refund your Membership fee if they are returned to us.

Data Protection and Use of Personal Data

IML is the Data Controller and Data Processor of any personal data you supply. The personal data you supply will be used to process your Membership subscription. As a Member of the Institute your data will be used for marketing, statistical and analytical purposes and to administer your Membership.

We only pass data to third parties in accordance with our Privacy Policy.

If you believe that any of the information we hold concerning you is incorrect or out of date, please provide us with accurate information as soon as possible.

Access to Member-Only Sections of the IML Website

As an IML Member, you can access the IML Member Portal on the website. You can also access your personal information and update your details in the IML Member Portal. IML advises all Members to keep their username and password information confidential.

Queries Comments and Complaints

We will respond to any complaint or query received within three working days. This may be an acknowledgment that we have received a complaint whilst further investigations are carried out.

Changes to this Policy

From time to time it may be necessary for us to review this policy. We reserve the right to amend this policy at any time and to notify you of any amendments by posting an updated version on our website at www.managersandleaders.com.au.

The following terms and conditions apply to Corporate Members of the Institute of Managers and Leaders Limited only.  Please refer to the separate Professional Membership Terms and Conditions for individuals.

Corporate Membership

1. Constitution, Code of Ethics and By-laws

All Corporate Members are bound by the Institute of Managers and Leaders Limited’s (the ‘Institute’) Constitution, Code of Ethics and by-laws, notices and directives of the Institute.

2. Application for Membership and Term of Membership

a. Corporate Membership is open to any business that agrees to be bound by these Terms and Conditions, the Institute’s Constitution and the Code of Conduct.

b. Membership commences on the date on which the Membership Fee is paid by the Corporate Member and continues for a period of 12 months from the Commencement Date.

c. All Corporate Members are required to indicate they accept all terms and conditions of Membership. Applications will not be processed until confirmation is received.

3. Membership Inclusions

a. The Institute provides Corporate Members with a range of Inclusions as part of its Membership.  The provision of such Inclusions may be subject to change, variation, revocation, or cancellation at any time on the provision of 14 calendar days’ notice.

b. The Institute does not make any representation or promise that the Inclusions offered at the time of joining or renewal of Corporate Membership will continue to be provided to Corporate Members.

c. If the Institute suspends or cancels the provision of an Inclusion/s, it will notify you by email transmission.

d. The supply of certain programs or events, which form part of your Benefits are subject to availability and supplied at the Institute’s sole discretion. For the avoidance of doubt, the parties agree that a failure to supply programs or events referred to as forming part of the Inclusions will not be considered a breach of these Terms and Conditions.

e. Where IML360 is offered as an Inclusion, it includes the survey and report delivered via electronic means only.  The Inclusion does not include any associated services.  For example, it does not include a debrief, workshop or other in person services.  If you require these additional services, please contact your Account Manager for a quote for those services.

4. Membership Fee

a. A Corporate Member’s annual Membership Fee is inclusive of GST, unless otherwise stated.

b. The Membership Fee is non-refundable unless required by Law.

c. The Membership Fee may be reviewed at any time/s and may be subject to increase at the sole discretion of the Institute.

d. Upon the Corporate Member being invoiced for the Membership Fee, the amount is a debt owed by the Member to the Institute.

5. Admission to Membership

In accordance with the Institute’s Constitution, the Institute’s Board may, in its sole discretion, accept or reject any application for Membership.  The Board need not give a reason for the exercise of its discretion to accept or reject any application.  

If an application for Membership is rejected, the Company Secretary or the Company Secretary’s delegate will notify the applicant in writing, and the Application Fee (if any) and Membership Fee (if any) paid by the applicant will be refunded to the applicant as soon as reasonable possible after the Board has made its decision.

6. Transfer of Membership

Corporate Memberships are not transferable or assignable.

7. Re-instate a Lapsed Membership

 a. To re-instate your lapsed Membership (up to 3 months after Membership fees were due), refer to your Subscription Renewal Notice for payment options or log on to the Members’ section of the Institute’s website to pay the full amount of your outstanding membership subscription.

 b. To re-instate your lapsed membership (after 3 months and up to 1 year after Membership fees were due), please contact the Institute’s Member Services Team at membership@managersandleaders.com.au.

8. Re-admission to the Institute

If you have been non-financial for three months or more, you may need to apply for re-admission to the Institute by completing the Corporate Membership Application. Please contact the IML Member Services Team for assistance.

9. Resigning a Membership

Members wishing to resign their membership are required to do so in writing, by mail or by email. Please include your Membership number, full name and contact details. Membership fees are non-refundable.

10. Membership Fees

a. Application Fee

The Application Fee is payable by each applicant for a new Corporate Membership.

b. Annual Membership Fee

  1.  The Annual Membership Fee payable by a Corporate Member is the sum the Board determines on an annual basis.
  2.  All Membership Fees are due and payable in advance of the Corporate Member’s renewal date each year.

 c. Annual Renewal of Membership

  1. The Institute will issue each Corporate Member with a Tax Invoice for Membership renewal on the anniversary of the commencement of the Corporate Member’s Membership each year.
  2. By paying the amount set out in the Renewal Notice, your Membership will renew for a further 12 month period and the terms governing that renewed Corporate Membership will be these Terms and Conditions.
  3. If you do not wish to renew your Corporate Membership, or would like to resign from your Membership, you must provide the Institute 30 days’ notice before the anniversary of the Commencement Date of your Membership of your election not to renew or to resign your Corporate Membership, after which notice period your Membership will cease.

11. Failure to Pay

If a Corporate Member does not pay their Membership Fees, their Membership will lapse, and they will not have access to the Membership Inclusions.

12. Costs Incurred by the Institute in Processing Membership Fees

If the Institute incurs any unexpected costs in processing Membership Fees, those costs will be charged back to that Corporate Member. Costs may include but are not limited to bounced cheque fees and related bank charges.

13. Membership Refunds

Membership fees will not be refunded by the Institute except where:

a. The Institute declines an application for Membership, and

b. Written applications to the Board to be assessed on a case by case basis

14. Correspondence Delivery

a. Primarily, the delivery of all correspondence relating to your Membership will be electronic, via email, and you consent to communication by that method.  Your authorised representative and address details (email/postal) utilised by the Institute will be those you notify us when you successfully apply for Membership.

b. You agree that we will not be responsible for failure of the delivery of correspondence if you have supplied us with an incorrect address or have failed to notify us of an address change or if your authorised representative changes.  We reserve the right to dispose of incorrectly addressed envelopes or return email transmissions and their contents without an obligation to refund your Membership Fee if they are returned to us.

15. Data Protection and Use of Personal Data

a. The Institute is the Data Controller and Data Processor of any confidential information (including any personal information of any employee) you supply. The confidential information (if any) that you supply will be used to process your Corporate Membership subscription. As a Corporate Member of the Institute, your data will be used for marketing, statistical and analytical purposes and to administer your Corporate Membership.

b. We only pass data to third parties in accordance with our Privacy Policy.

c. If you believe that any of the information we hold concerning your organisation or your employees is incorrect or outdated, please provide us with the accurate information as soon as possible.

16. Access to Member-Only Sections of the Institute’s Website

As a Corporate Member, your nominated representative can access the Institute’s Member Portal on the website. You can also access your organisation’s information and update your organisation’s details in the Institute’s Member Portal. The Institute advises all Corporate Members to keep their username and password information confidential.

17. Releases and Indemnities

a. You release and discharge the Institute from any liability, claim, demand, legal proceedings and costs (including legal costs) that are in any way associated or connected with the Corporate Membership, Inclusions (including that may arise from any individual accessing any of the Inclusions), the terms of any reliance upon, any advice provided by the Institute, suspension of the Membership, and termination of the Membership.

b. You indemnify the Institute from any liability, claim, demand, legal proceedings and costs (including legal costs) that are in any way associated or connected with the Membership, Inclusions (including that may arise from any individual accessing any of the Inclusions), the terms of any reliance upon, any advice provided by the Institute, suspension of the Membership, and termination of the Membership.

c. The Institute and you agree that no provision of these Terms and Conditions (or any other agreement between the parties) will derogate from the release and indemnity set out in this clause 17.

18. General

a. Intellectual Property

i. Except where expressly stated, nothing in these Terms and Conditions transfers any Intellectual Property Rights of a Party to any other Party.

ii. The Institute will retain all Intellectual Property Rights in the Institute’s Trademarks.

iii. You will retain all Intellectual Property Rights in the Member Trademarks.

iv. You grant the Institute a perpetual, non-exclusive, irrevocable and royalty free licence to reproduce and publish the Member Trademarks and/or Logos for the sole purposes of the Institute using that Member Trademarks and/or Logos in its Member directory (if any), on its website to acknowledge your Corporate Membership, and other mediums relevant to the events and the opportunities of the Institute. It is your responsibility to inform the Institute of the current status of your Member Trademarks and notify the Institute if the Member Trademark ceases to exist or changes.

v. You must not use the Institute’s Trademarks and/or Logos in any way without obtaining the prior written approval of the Institute, with such approval to be at the sole discretion of the Institute.

vi. Where the Institute grants to you the use of the Institute Trademarks, the use of those trademarks by you will be limited as follows:

A. you must comply with all directions of the Institute in relation to the Institute Trademarks; and

B. subject always to the above, you will have from the Institute a limited, revocable and royalty free licence to reproduce and publish the Institute Trademarks in accordance with the instructions and directions of the Institute for a period of time that the Institute nominates at its absolute discretion.

b. Variation and Changes

i. No amendment or variation of these Terms and Conditions is permitted unless it is made in writing and agreed to by the Institute in writing.

ii. Subject to clause 18. b. ii. below, you agree that the Institute may change these Terms and Conditions at any time by publishing any change to membership terms and conditions (including by publishing an entire unmarked-up copy of a complete different set of membership terms and conditions) on its website.

iii. You acknowledge and agree that any iteration of membership terms and conditions first published on the Institute’s website after the Commencement Date of these Terms and Conditions will operate to replace these Terms and Conditions as the terms and conditions of the Corporate Membership.

c. Governing Law & Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Queensland, and the parties submit the exclusive jurisdiction of the Courts in the State of Queensland, in the District of Brisbane.

19. Queries Comments and Complaints

20. Definitions

The following words and phrases used in these Terms and Conditions have the meanings set out in this section.

Institute’s Trademarks means the trademarks, service marks, logos, and signs whether registered or unregistered and owned by the Institute.

Inclusions means the services and benefits to Corporate Membership that are set out in your membership Member Pack given to you by the Institute at the commencement of your membership and as may be amended from time to time by the Institute.

Institute means the Institute of Managers and Leaders Limited ABN 31 163 376 921.law

Intellectual Property Rights means all and any patents, patent applications, trademarks, service marks, trade names, registered designs, unregistered design rights, copyrights, know how, trade secrets, domain names, internet addresses, whether registered or unregistered, and including all applications and rights to apply for any of the same now or in the future.

Corporate Member means a corporate entity that holds a Corporate Membership with the Institute and is entitled to the Inclusions from the Institute.  In these Terms and Conditions, a reference to “you” or “your” is a reference to the Corporate Member entity.

Member Pack is a packet of documents that is given to the Corporate Member by the Institute (whether in paper version or via electronic communication) which sets out a Corporate Member’s Membership Inclusions, applicable Membership Fees, and other matters associated with the Corporate Member’s membership.

Member Trademarks means the trademarks, service marks, logos and signs whether registered or unregistered and owned by the Corporate Member of the Institute, as relevant.

Membership means the corporate category of membership with the Institute.

Membership Fee means the amount payable (including any initial joining fee, annual fee, and such other fees or levies as the Institute elects to charge) to charge to the Corporate Member as set out in:

a. the Member Pack, where the first 12 months of Corporate Membership is concerned; or

b. the Renewal Notice for the relevant year of Corporate Membership, where years of Corporate Membership subsequent to the first 12 months of Membership are concerned.

Party means a party to these Terms and Conditions.

Renewal Notice means the Corporate Member Pack or Tax Invoice issued by the Institute, or such other documents as are contemplated by clause 10 c. of these Terms and Conditions.

Terms and Conditions means these Terms and Conditions as amended from time to time.
